END-USER LICENSE AGREEMENT

1. Agreement to Terms

This End-User License Agreement and Terms of Service (“Agreement”) is a legally binding contract between you (“User,” “you,” or “your”) and Phoenix Protocol Pte. Ltd. (“Phoenix,” “we,” “us,” or “our”), governing your use of the Phoenix mobile application, web platform, and related services (collectively, the “Service”).

2. Description of Service

Phoenix provides a health and wellness platform designed to support individuals, particularly those with genetic risk factors for cognitive decline, in tracking health data, participating in structured self-experiments, and connecting with a community of like-minded individuals. The Service includes:

• Health data tracking and analysis tools
• Integration with wearable devices and health platforms (Apple Health, Google Health Connect)
• Health check-in features
• Access to the Phoenix Community (a private, members-only forum)
• Educational content and resources

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

4. Account Registration and Security

To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

5. Subscription and Payment

5.1 Subscription Terms

The Service is offered on a paid subscription basis. Subscription fees, billing cycles, and available plans are displayed at the time of purchase. By subscribing, you authorise us to charge your designated payment method for the applicable fees.

5.2 Payment Processing

All payments are processed through Stripe, our third-party payment processor. We do not store your full payment card details on our servers.

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Refunds, if any, will be provided in accordance with our refund policy as communicated at the time of purchase and in compliance with applicable law.

6. User Responsibilities and Conduct

You agree to:

• Use the Service only for lawful purposes and in accordance with this Agreement
• Provide accurate and truthful information
• Respect the privacy and confidentiality of other community members
• Not share content from the private community outside the community without consent
• Not engage in harassment, abuse, or harmful behaviour towards other users
• Not attempt to gain unauthorised access to any part of the Service
• Comply with all applicable laws and regulations

7. Community Guidelines

The Phoenix Community is a private, members-only space. All discussions and personal information shared within the community are confidential. Members are expected to maintain this confidentiality and not share other members' information outside the community. You may use a pseudonym within the community if you prefer. Violation of community guidelines may result in suspension or termination of your account.

8. Health and Medical Disclaimer

Phoenix does not provide medical advice. The content, tools, and community discussions available through the Service are designed to support your personal health journey but should not be relied upon as medical guidance. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or experienced through the Service.

If you think you may have a medical emergency, call your doctor or emergency services immediately. Phoenix does not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned through the Service.

9. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Phoenix Protocol Pte. Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of Singapore and foreign countries. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

10. User Content

You retain ownership of any content you submit through the Service. By submitting content, you grant Phoenix a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Service. You represent that you have the right to submit such content and that it does not violate any third-party rights.

11. Third-Party Services and Integrations

The Service may integrate with third-party services such as Apple Health and Google Health Connect. Your use of these third-party services is subject to their respective terms and privacy policies. Phoenix is not responsible for the content, privacy practices, or terms of any third-party services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PHOENIX PROTOCOL PTE. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to this Agreement or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless Phoenix Protocol Pte. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of this Agreement, or your violation of any rights of another.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by using the account deletion feature in the Service (My Profile > Delete Data).

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on the Service and updating the “Effective Date.” Your continued use of the Service after such changes constitutes your acceptance of the modified Agreement.

18. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

19. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Phoenix regarding the Service and supersedes all prior agreements and understandings.
